In order to qualify as a Porteous Fastener distributor, all the terms below must
be met:

1. Purchaser's business must be in wholesale or in distribution.
|
|
2. All purchases from PFC will be resold.
|
|
3. A copy of the purchaser's resale license will be furnished to PFC
prior to any sale.
|
|
4. The purchaser will maintain and warehouse adequate and representative
inventory of products similar to those sold by PFC.

5. The purchaser inventory must have a minimum replacement value of $25,000.
|
|
6. The Purchaser must have a place of business and warehouse that is
not a home, garage or storage unit.
|
|
7. The purchaser agrees to pay PFC invoices within agreed terms.
|
|
8. Purchases from PFC will exceed $12,000 per year.
|
|
9. PFC has the right to terminate the relationship if above terms are
not met.
